YouGottaCall is the word-of-mouth connection engine (Connect-gine™) that connects local businesses with their customers, neighbors and friends to generate referrals and earn rewards.
YouGottaCall.com supports the local community by allowing Members to either keep their rewards or to donate them directly to their favorite not-for-profit (501C3) organizations.
Welcome to the Service Provider Agreement for YouGottaCall.com, LLC. This agreement describes the terms by which you may access and use the services of YouGottaCall.com. Service Providers will be bound by the terms of this Service Provider Agreement as well as the requirements of the Member Agreement. In order to become a YouGottaCall.com Trusted Service Provider (TSP), you must read and accept all of the terms and conditions of this agreement, the Member Agreement and the Privacy Policy. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits. If you do not agree to be bound by the terms of this Agreement, you may not be a TSP in the YouGottaCall network.
We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this website. Your continued use of the YouGottaCall.com service indicates your acceptance of the amended Service Provider Agreement.
The YouGottaCall.com Service is available to any business locally owned and operated in our service area. Individuals (employees, members, etc.) within a business may have separate accounts. Individuals operating multiple businesses may have a TSP account for each business. Additionally, TSPs are prohibited from selling, trading, or otherwise transferring their YouGottaCall.com account to another party without prior written permission of YouGottaCall.com, LLC. If you do not qualify, you may not use YouGottaCall.com's Services.
In the course of providing you services, YouGottaCall.com may need to communicate with you via email (see our Privacy Policy to learn more about communications). You agree to receive emails which are specific to your account and necessary for the normal functioning of the YouGottaCall.com Service, including a series of up to three welcome emails which help inform new TSPs about various features of the YouGottaCall.com Service. You agree to receive emails to monitor your use of the service and to allow YouGottaCall.com to monitor and improve the quality of its offerings. You also agree to have your name and/or email address listed in the header of certain communications which you initiate through the YouGottaCall.com Service.
As a YouGottaCall TSP you will have the right to review all postings relating to you before they are uploaded to the site. Your failure to object to any posting does not mean you cannot object to it in the future. We will not post any comments that you find objectionable. However, under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website.
There are no fees charged by YouGottaCall.com to members or TSPs for using the services of the YouGottaCall.com network. TSPs agree to pay a fee when a referral through the network results in a sale for their business.
The amount of this is set by each TSP. Fees are paid after a referral sale is made. The fee is paid to YouGottaCall.com and distributed to the members and to the YouGottaCall.com.
Some professions are prohibited by law from paying finders fees. If you belong to one of these regulated groups (example: medical, legal, insurance, real estate, investments or banking) you may choose to pay a fee for each qualified lead that you receive through the network. You will have (5) business days to reject the lead if you do not deem it to be a qualified lead.
YouGottaCall.com will track leads and monitor sales. The TSP agrees to pay the fee for all sales made due to YouGottaCall.com referrals, even if YouGottaCall.com is not made aware of the sale. YouGottaCall.com reserves the right to charge for the YouGottaCall.com Service or any portion thereof, modify the pricing of, add to, or discontinue the YouGottaCall.com Service or any portion thereof without prior notice. However, a TSP will have the right to discontinue participation before any changes to the fees are imposed.
YouGottaCall.com will perform a test of its service for an as yet undetermined period of time. This beta test is limited to members and TSPs in the greater Hartford, CT area.
During Beta testing Membership and TSPs are limited to those approved by YouGottaCall.com, LLC.
During this time period TSPs and members who participate in the YouGottaCall.com network may be asked to provide their feedback on aspects of the network's operations.
The electronic financial transaction functions of the network will not be finalized until the completion of the beta test period. During beta, TSPs will be required to remit their referral fees to the network by check. Checks will be postmarked no later than 10 days following the confirmation of the member's purchase.
In exchange for participation in the beta test stage, YouGottaCall.com, LLC will underwrite 70% of each TSPs referral fees up to $100.00 during the beta test stage or until such time as YouGottaCall.com, LLC chooses.
By accepting this Service Provider Agreement, you agree to indemnify and otherwise hold harmless YouGottaCall.com, LLC, its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of the YouGottaCall.com Service; ii) unauthorized access to or alteration of your communications with or through the YouGottaCall.com Service, or iii) any other matter relating to the YouGottaCall.com Service. Any business transactions which may arise between users from their use of YouGottaCall.com are the sole responsibility of the users involved.
You understand that YouGottaCall.com acts to connect you to a potential customer. However, any business transactions between you and a member are independent of YouGottaCall.com. All contracts, damages, and liability whether direct or indirect are between you and the member and not YouGottaCall.com.
The Service Provider Agreement in conjunction with the Member Agreement constitutes the entire agreement between you and YouGottaCall.com and governs your use of the YouGottaCall.com Service, superseding any prior agreements between you and YouGottaCall.com.
The Service Provider Agreement between you and YouGottaCall.com Corporation will be governed by and construed in accordance with the laws of the State of Connecticut without regard to conflict of laws principles.
YouGottaCall.com, the YouGottaCall.com logo, and other YouGottaCall.com logos, slogans and names are trademarks of YouGottaCall.com LLC. You agree not to display or use these trademarks in any manner without YouGottaCall.com's prior, written permission. The section titles of this Service Provider Agreement are displayed for convenience only and have no legal effect.
